1. Introduction

Meridian operates a Creative Marketplace that allows students, artists, designers, and independent creators ("Contributor", "Creator", "you") to list and sell their physical and digital products to Meridian's readership and community. These Terms and Conditions ("Agreement") govern the relationship between Meridian and all Contributors participating in the Creative Marketplace.

Access to the Creative Marketplace is provided through a subscription model. Contributors pay a subscription fee to list their products on the platform and keep 100% of their sales revenue. Meridian does not take any commission or percentage from individual sales.

By registering as a Creator or subscribing to a listing plan on the Meridian Creative Marketplace, you confirm that you have read, understood, and agreed to these Terms in full.

2. Eligibility

To become a Contributor on Meridian's Creative Marketplace, you must:

• Be at least 18 years of age, or have written parental or guardian consent if you are under 18.
• Be a student, graduate, independent artist, designer, or creator based in Pakistan, or have products available for delivery within Pakistan.
• Register via Meridian's Creator Program page and provide accurate contact and payment information.
• Hold the legal right to sell all products you list, including full ownership or appropriate license of all intellectual property rights therein.
• Agree to the content guidelines outlined in Section 4 of this Agreement.

3. Subscription Plans & Fees

3.1 How It Works

Contributors access the Meridian Creative Marketplace by paying a subscription fee. In return, their products are listed on the platform and remain visible to customers for the duration of their active subscription. Meridian does not deduct any commission or fee from individual sales. Contributors receive 100% of the sale price on every product sold.

3.2 Available Plans

Meridian currently offers three subscription plans:

Subscription fees are subject to change. Meridian will provide at least 30 days' prior written notice before implementing any change to subscription pricing. Contributors on an active plan at the time of a price change will retain their current rate for the remainder of that subscription period.

3.3 Payment of Subscription Fee

Subscription fees are payable in advance at the start of each subscription period. Accepted payment methods will be communicated at the time of registration and may include bank transfer, JazzCash, EasyPaisa, or other methods made available by Meridian. Subscription fees are non-refundable once a subscription period has commenced, except as outlined in Section 3.5.

3.4 Renewal

Subscriptions do not renew automatically. Contributors wishing to continue listing their products must manually renew their subscription before or on the expiry date of their current plan. Meridian will send a renewal reminder to the Contributor's registered email address prior to the expiry of their subscription.

3.5 Refund on Subscription Fee

Subscription fees are generally non-refundable. However, if Meridian terminates a Contributor's subscription for reasons not attributable to the Contributor's breach of these Terms, a pro-rated refund for the unused portion of the subscription period will be issued within 30 days.

4. Product Listing & Approval

4.1 Submission of Products

Contributors must submit product details, including title, description, category, images, price, and delivery information, through the process specified by Meridian. All product listings are subject to review and approval by Meridian before they are made visible on the platform.

4.2 Approval & Rejection

Meridian reserves the right to approve, reject, or request modifications to any product listing at its sole discretion. Products that do not comply with Meridian's content guidelines, quality standards, or platform categories will not be approved. Rejection of a product listing does not entitle the Contributor to a refund of their subscription fee.

4.3 Accepted Product Categories

The Meridian Creative Marketplace currently accepts products in the following categories:

• Stationery and paper products (stickers, bookmarks, greeting cards, notebooks, diaries, journals)
• Custom-printed and personalized products
• Digital downloads (design templates, CV and resume designs, digital portfolios, e-content)
• Customized magazines and literary publications
• Other creative products approved by Meridian on a case-by-case basis

4.4 Number of Listings

The number of products a Contributor may list under each subscription plan will be communicated at the time of registration. Meridian reserves the right to set or revise listing limits per plan, with notice to active subscribers.

4.5 Accuracy of Listings

Contributors are responsible for ensuring that all product information is accurate, complete, and kept up to date. This includes descriptions, images, pricing, availability, and delivery timelines. Meridian is not responsible for errors arising from inaccurate information provided by the Contributor.

5. Content Guidelines & Prohibited Products

Meridian is committed to maintaining a safe, respectful, and lawful marketplace. The following products and content are strictly prohibited:

• Products that infringe any third-party intellectual property rights, including copyright, trademark, or design rights (e.g. unauthorized use of licensed characters, brand logos, or copyrighted imagery).
• Products containing offensive, hateful, defamatory, obscene, or discriminatory content.
• Products that violate Pakistani law or applicable international regulations.
• Counterfeit, replica, or misleadingly described products.
• Products that promote illegal activities, self-harm, or the exploitation of individuals.
• Any product for which the Contributor does not hold the necessary rights, permissions, or licenses.

Meridian reserves the right to remove any listing that violates these guidelines without prior notice. Repeated violations may result in permanent account suspension without a refund of the remaining subscription period.

6. Sales, Payments & Revenue

6.1 100% Revenue to Contributors

Contributors retain 100% of the revenue from each product sold through their listing. Meridian does not charge any commission or take any percentage of individual sales. The only fee payable to Meridian is the subscription fee described in Section 3.

6.2 Payment Collection

Meridian facilitates the sale through the platform. The method by which sales proceeds are transferred to the Contributor (direct customer payment, platform-mediated transfer, etc.) will be outlined in the Creator Program onboarding information. Meridian will ensure Contributors receive their full sale amount in a timely and transparent manner.

6.3 Pricing

Contributors are responsible for setting the retail price of their products. Meridian recommends that pricing reflects the cost of production, materials, and a reasonable margin. Meridian may suggest pricing adjustments for marketplace consistency but will not alter a Contributor's listed price without prior discussion and consent.

6.4 Promotions

Meridian may, from time to time, run platform-wide promotional campaigns. Participation of a Contributor's products in such promotions will be communicated and agreed upon in advance. Meridian will not apply discounts to a Contributor's products without the Contributor's prior consent.

7. Orders & Fulfilment

7.1 Fulfilling Orders

When a customer places an order for a Contributor's product, the Contributor is responsible for fulfilling the order within the delivery timeline stated in the product listing. If the Contributor is unable to fulfil an order for any reason, they must notify Meridian immediately so that the customer can be informed.

7.2 Physical Products

For physical products, the Contributor is responsible for safe packaging and timely dispatch. Products must be sent within the timeframe specified in the listing.

7.3 Digital Products

For digital products, the Contributor must ensure that all downloadable files or digital deliverables are ready for immediate dispatch upon order confirmation. Files must be functional, complete, and as described in the listing.

7.4 Quality Standards

All products delivered to customers must match the description, images, and quality represented in the listing. In the event of a verified quality failure or significant misrepresentation, Meridian may issue a refund to the customer and may seek to recover the refunded amount from the Contributor.

7.5 Out-of-Stock

Contributors must keep product availability updated on the platform at all times. If a product is no longer available, the Contributor must promptly notify Meridian to delist the product. Failure to fulfil confirmed orders without reasonable cause may result in account suspension.

8. Subscription Lapse & Grace Period

If a Contributor's subscription expires and is not renewed, the following applies:

• A grace period of 7 days will be granted from the subscription expiry date.
• During the grace period, the Contributor's listings will remain visible on the platform, but the Contributor will be notified to renew their subscription.
• If the subscription is not renewed within the 7-day grace period, all of the Contributor's product listings will be suspended and will no longer be visible to customers.
• Suspended listings will be held by Meridian for a further 30 days. If the Contributor renews their subscription within this period, listings may be restored. After 30 days without renewal, listings may be permanently removed.
• Any orders placed during the grace period remain the Contributor's responsibility to fulfil.

Meridian will send reminder notifications before and at the point of subscription expiry to give Contributors adequate opportunity to renew.

9. Intellectual Property

9.1 Contributor Retains Ownership

Contributors retain full intellectual property rights over all products they list on the Meridian platform. Meridian does not claim ownership of any product, design, or creative work submitted by Contributors.

9.2 License to Meridian

By listing a product on the Meridian Creative Marketplace, you grant Meridian a non-exclusive, royalty-free license to display your product images, descriptions, and related content on the platform and on Meridian's social media and marketing channels for the purpose of promoting and selling your products. This license ends when the product is delisted from the platform.

9.3 Contributor Warranty

You represent and warrant that you hold all necessary intellectual property rights in the products you list, including all designs, images, text, and creative elements used. You agree to indemnify Meridian against any third-party claims arising from intellectual property infringement related to your listed products.

10. Contributor Account & Conduct

Contributors are responsible for maintaining the security of their account credentials. You agree not to:

• Misrepresent your identity, business, qualifications, or products on the platform.
• Engage in price manipulation, fake reviews, or any other deceptive practices.
• Use the Meridian platform to redirect customers to external channels to bypass the platform's processes.
• List products that have been rejected by Meridian under a different title or description.
• Interfere with the platform's operations or with other Contributors' activities.

Meridian reserves the right to suspend or permanently close a Contributor's account for any violation of these conduct standards, without prior notice and without a refund of the remaining subscription period where the violation is the Contributor's fault.

11. Termination

11.1 By the Contributor

A Contributor may terminate this Agreement at any time by giving written notice to Meridian. Termination will take effect at the end of the current subscription period. Subscription fees already paid are non-refundable except as provided in Section 3.5.

11.2 By Meridian

Meridian may terminate this Agreement with 30 days' written notice. Upon termination initiated by Meridian without cause, any unused portion of a paid subscription will be refunded on a pro-rated basis. Meridian may terminate this Agreement immediately, without notice or refund, if the Contributor is found to have engaged in fraudulent conduct, repeated violations of these Terms, intellectual property infringement, or conduct that damages Meridian's reputation or harms its users.

11.3 Effect of Termination

Upon termination, all of the Contributor's product listings will be removed from the platform. Any pending customer orders placed before the termination date remain the Contributor's responsibility to fulfil.

12. Limitation of Liability

To the fullest extent permitted by law:

• Meridian is not liable for any loss or damage resulting from a Contributor's failure to fulfil orders, product defects, or inaccurate product listings.
• Meridian does not guarantee any minimum level of sales, traffic, or revenue for Contributors.
• Meridian is not responsible for disputes between Contributors and customers that arise from the quality, accuracy, or delivery of products.
• Meridian's total liability to a Contributor under this Agreement shall not exceed the subscription fee paid by the Contributor for the current subscription period.

Each Contributor is solely responsible for the products they list, the claims they make about those products, and their order fulfilment obligations.

13. Privacy & Data

Meridian will collect and process Contributor information, including name, contact details, and payment information, solely for the purpose of managing the Creator Program and processing subscriptions. Contributor information will not be sold or shared with third parties except as required to process payments or comply with legal obligations. Contributor names and product information will be displayed publicly on the Meridian platform and associated marketing channels as part of the listing. 14. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the Islamic Republic of Pakistan. In the event of any dispute arising from this Agreement, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be referred to the jurisdiction of the courts of Sialkot, Punjab, Pakistan.

15. Amendments to These Terms

Meridian reserves the right to update these Terms and Conditions at any time. Contributors will be notified of material changes via email or platform notification at least 30 days before changes take effect. Continued participation in the Meridian Creative Marketplace following such notification constitutes acceptance of the revised terms. Contributors who do not accept the revised terms may terminate their Agreement in accordance with Section 11.1.
